PROFIT SHARING AGREEMENT

This Profit Sharing Agreement ("Agreement") is made and entered into on 30/10/2023, by and between:

(collectively referred to as the "Parties").

WHEREAS, the Production House and the Producer have agreed to collaborate on a project Hi-Fi, as further described in Exhibit A, attached hereto and incorporated by reference;

WHEREAS, the Parties wish to outline the terms and conditions governing the profit-sharing arrangement for the Project;

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Parties agree as follows:

1. PROFIT SHARING:

1.1. The Parties agree to share the net profits generated by the Project in the following manner:

- .............................................. shall receive sixty percent (60%) of the net profits, and

- The Dreamz Unlimited shall receive Twenty percent (20%) of the net profits.

- Vendor Sooraj Khanna or its company Films by Filmsbuffs LLP shall receive twenty (20%) of the profits.

2. NET PROFITS:

2.1. Net profits shall be calculated as follows:

- Gross revenue generated from the Project minus all reasonable and customary production, marketing, distribution, and overhead expenses incurred by The Dreamz Unlimited.

3. Budget:

3.1. The Dreamz Unlimited shall provide ..........................to budget statements detailing the Project

3.2. The budget of the project will be THIRTY LAKHS THIRTEEN THOUSAND FIVE HUNDERED 30,13,500/-.
